1. The "Zomi" community bears the name "Zomi Innkuan Germany" with the suffix "e.V." after registration and the abbreviation ZIG. "Zomi" is a proper name. It refers to an ethnic group who predominantly live in Chin State (a region within Myanmar/Burma). "Innkuan" means "community" in the Zomi language.
2. Its domicile is in Frankfurt am Main.
3. The fiscal year corresponds to the calendar year.
The purpose of the association is to promote art and culture, education, and international understanding. These goals are to be achieved as follows:
1. Promotion of art and culture: Organization of cultural events, exhibitions, musical performances, lectures and storytelling to preserve the culture of the "Zomi".
2. Promotion of education: by teaching "Zomi" children who were born or raised in Germany about the culture, literature and language of the "Zomi" and other ethnic groups.
3. Promotion of international understanding: Evaluating and preserving Zomi culture and exchanging cultures with other peoples.
4. Supporting the Zomi people through the promotion of humanitarian and development-related projects.
Furthermore:
5. The association is independent of party politics and religion.
6. The association is non-profit and does not pursue any personal economic goals.
7. The club's objectives are pursued through active participation in the club and with the support of the board.
8. The statutes' objectives are financed through donations and membership fees.
(1) The association is a non-profit organization; it does not primarily pursue its own economic interests.
(2) The association pursues exclusively and directly charitable purposes within the meaning of the section "Tax-privileged purposes" of the German Fiscal Code.
(3) Funds accruing to the association may only be used for the purposes stipulated in the articles of association. Members do not receive any payments from the association's funds.
(4) No person shall be favored by expenditures that are unrelated to the purpose of the association or by disproportionately high remuneration.
1. Membership terminates upon death, resignation, or expulsion. Resignation must be submitted in writing to the board at least two months prior to the desired termination date. Membership fees are non-refundable.
2. Expulsion is decided by the general meeting with a three-quarters majority of the members present.
3. If a member falls into arrears with their annual membership fee, the board may terminate their membership by a simple majority vote.
Members pay membership fees, the amount and due date of which are determined by the general meeting with effect for the following financial year. Details of the payment terms are decided by the board of directors by majority vote.
1. The organs of the association are (a) board members, (b) auditors, and (c) members of the association.
2. Further organizational bodies, in particular committees with specific tasks, may be established by resolution of the general meeting.
1. The Executive Board, within the meaning of Section 26 of the German Civil Code (BGB), consists of the Chairman, the Vice-Chairman, the Secretary, the Deputy Secretary, and the Treasurer. This board can be expanded to a total of up to seven persons by resolution of the General Meeting.
2. Joining the Board: Only members can be elected to the board. Depending on their interests, members have the opportunity to be elected to the board by the general meeting. Each member is informed about the election beforehand. The board makes its decisions by simple majority. The board is elected by the general meeting for a term of four years. However, the board remains in office even after the expiration of its term until a new board is elected.
3. Powers and Duties of the Board: The board conducts business on a voluntary basis and according to applicable rules of procedure. The association is legally represented externally by two members of the board acting jointly.
1. The ordinary general meeting takes place every year during the "Khuado Festival" (October). The invitation is issued by the chairman of the board of directors, observing a notice period of at least one month. This may be done by letter or fax. The following matters are to be discussed and decided upon at the general meeting:
- Report of the board of directors for the past year, plans of the board of directors for the coming year - Election of the new board of directors, generally every four years - Discussion of financial income and expenses - Discharge of the board of directors - Amendments to the articles of association - Dissolution of the association
2. The general meeting decides by a 3/4 majority and is therefore quorate. The general meeting is the supreme body.
1. Amendments to the Articles of Association require a three-quarters majority of the members present. Amendments to the Articles of Association can only be voted on at the general meeting if this agenda item was already mentioned in the invitation to the general meeting and both the existing and the proposed new text of the Articles of Association were attached to the invitation.
2. The Executive Board may, on its own initiative, make amendments to the Articles of Association that are required by supervisory, judicial, and/or financial authorities for formal reasons. These amendments to the Articles of Association must be communicated to all members of the association in writing as soon as possible.
1. Minutes of the members' meeting shall be taken and signed by the chairman or his deputy and by the secretary or by a minute-taker elected by the meeting.
1. The ZIG (Association) may be dissolved if it has fewer than 7 members. Dissolution can only be decided at a special extraordinary general meeting convened for this purpose with one month's notice, by a three-quarters majority of the members present.
2. In the event of dissolution or winding-up of the Association, or if its tax-exempt status is revoked, the remaining assets shall be transferred to the Chin Community (Germany) e.V. (Dieburger Str. 12, 60386 Frankfurt am Main), which shall use them directly and exclusively for charitable, benevolent, or religious purposes.
The aforementioned statutes were drafted and adopted with the approval of the majority of the members present at the general meeting on October 1, 2023.
